Welcome to Paws Pause. These Terms of Service ("Terms") govern your purchase and use of the services provided by Paws Pause ("Paws Pause," "we," "our," or "us").
By purchasing, subscribing to, accessing, or otherwise using any of our Services, you agree to these Terms, our Privacy Policy, Service Policies, and any other policies expressly incorporated by reference.
1. Introduction, Acceptance of Terms, and Scope
Welcome to Paws Pause ("Paws Pause," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of all products, services, software, websites, communications, recordings, and related offerings provided by Paws Pause (collectively, the "Services").
By purchasing, subscribing to, accessing, or otherwise using any of our Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and any additional policies or agreements expressly incorporated by reference.
If you are entering into these Terms on behalf of a veterinary hospital, corporation, partnership, nonprofit organization, or other legal entity, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, references to "Customer," "you," and "your" refer to both the individual accepting these Terms and the organization they represent.
These Terms apply to all Services offered by Paws Pause, including, but not limited to:
Monthly Message-on-Hold Programs
One-Time Recordings
Enterprise Communication Programs
Communication Platform Advisory services
AI-powered communication products and future software offerings
Communication consulting and implementation services
Website features, customer portals, online forms, payment pages, and related digital services
Unless otherwise agreed in writing, these Terms govern every purchase and every interaction with Paws Pause.
If a customer enters into a separate written agreement with Paws Pause, including but not limited to a Master Services Agreement (MSA), Statement of Work (SOW), Enterprise Agreement, or other signed contract, the terms of that written agreement shall control only to the extent they conflict with these Terms. All other provisions of these Terms shall remain in effect.
Paws Pause may modify, expand, discontinue, or replace any Service, feature, technology, workflow, pricing model, or operational process at any time. We will make reasonable efforts to notify customers of material changes that significantly affect existing subscriptions or contractual obligations.
Continued use of our Services following the effective date of any revised Terms constitutes acceptance of those revisions.
2. Definitions
For purposes of these Terms, the following definitions apply:
"Customer"
"Customer," "you," and "your" refer to the individual or legal entity purchasing, subscribing to, or otherwise using any Service provided by Paws Pause.
"Services"
"Services" means all products, subscriptions, recordings, consulting services, software, websites, communications, enterprise programs, implementation services, and related offerings provided by Paws Pause, whether currently available or introduced in the future.
"Monthly Program"
The "Monthly Message-on-Hold Program" is a recurring subscription service in which Paws Pause creates, updates, manages, and delivers professionally produced message-on-hold content on a recurring basis.
"One-Time Recording"
A "One-Time Recording" is a single custom-produced audio recording created for a specific announcement or communication need and purchased as a one-time service rather than through a recurring subscription.
"Enterprise Services"
"Enterprise Services" refers to customized programs designed for organizations managing multiple locations or requiring specialized implementation, centralized content management, dedicated onboarding, custom pricing, consulting, or additional support beyond the standard Monthly Program.
"Recording"
A "Recording" means any audio file, voice recording, message-on-hold program, announcement, greeting, or other audio content produced or delivered by Paws Pause.
"Script"
A "Script" means the written content prepared, edited, or approved by Paws Pause for production into a Recording.
Scripts may be created entirely by Paws Pause, supplied by the Customer, or developed collaboratively.
"Production"
"Production" includes the writing, editing, proofreading, recording, voice processing, audio mastering, quality assurance, formatting, and preparation of a Recording for delivery.
"Production Error"
A "Production Error" means an error introduced by Paws Pause during Production that differs from the approved or customer-provided information.
Examples include:
Incorrect wording
Misspellings
Incorrect pronunciations
Missing customer-provided information
Technical defects in the delivered Recording
Production Errors do not include changes requested by the Customer after Production has been completed.
"Customer Information"
"Customer Information" means any information, instructions, files, branding, logos, names, schedules, pricing, promotions, provider information, announcements, or other materials supplied by the Customer for use in the Services.
"Supported Communication Platform"
A "Supported Communication Platform" means a telecommunications, unified communications, or contact center platform for which Paws Pause currently offers automated deployment or technical integration.
Supported platforms may change over time.
"Business Day"
A "Business Day" means Monday through Friday, excluding United States federal holidays.
"Subscription"
A "Subscription" means any recurring billing arrangement for Services provided by Paws Pause, regardless of billing frequency.
"Deliverables"
"Deliverables" means any Recording, audio file, script, report, consultation, implementation plan, recommendation, or other work product produced by Paws Pause as part of the Services.
"Content"
"Content" includes all scripts, recordings, audio files, text, graphics, templates, recommendations, reports, and other materials created, provided, or delivered by either the Customer or Paws Pause.
"Effective Date"
The "Effective Date" is the date on which the Customer first purchases, subscribes to, or otherwise begins using any Service provided by Paws Pause.
"Website"
"Website" refers to all websites, landing pages, customer portals, payment pages, forms, and online properties owned or operated by Paws Pause.
"Third-Party Provider"
A "Third-Party Provider" means any external company, platform, software provider, telecommunications carrier, payment processor, hosting provider, or other service provider that is not owned or controlled by Paws Pause, including but not limited to Stripe, RingCentral, Cisco, Zoom, Microsoft, Google, and similar providers.
3. Services
Paws Pause provides professional communication services designed to help veterinary organizations improve the experience of callers and simplify the management of communication content.
Our Services may include, but are not limited to:
Monthly Message-on-Hold Programs
One-Time Recordings
Enterprise Communication Programs
Communication Platform Advisory
AI-powered communication products
Communication consulting
Managed deployment services
Related communication products and services
Descriptions of our Services on our Website are intended to provide a general overview and may change from time to time. Unless otherwise stated in a separate written agreement, no description, illustration, advertisement, or marketing material shall be interpreted as a guarantee that a specific feature, functionality, integration, or workflow is included with a particular Service.
3.1 Service Availability
Certain Services, features, integrations, deployment capabilities, or technologies may not be available in every region, on every communication platform, or for every customer.
Paws Pause reserves the right to modify, improve, discontinue, or replace any Service, feature, workflow, or technology at any time.
Where a material change affects an active subscription, Paws Pause will make reasonable efforts to notify affected customers in advance.
3.2 Scope of Services
Unless otherwise agreed in writing, Services provided by Paws Pause are limited to the scope described for the purchased product or subscription.
Examples of Services that may require a separate agreement or additional fees include:
Additional recordings outside the standard subscription
Emergency or expedited production
Extensive script rewrites requested after production
Custom voice talent requests
On-site consulting
Enterprise implementation services
Platform migrations
Custom software development
API integrations
Custom reporting or analytics
Training services
Any work requested outside the published scope of the purchased Service
3.3 Managed Service Model
Paws Pause operates as a managed service.
Rather than simply delivering audio files, we manage the writing, production, organization, and delivery of communication content on behalf of our customers.
While customers maintain control over the information communicated to their callers, the methods, workflows, production processes, and operational procedures used by Paws Pause remain at our sole discretion.
3.4 Continuous Improvement
Paws Pause continuously improves its Services.
We may introduce new products, retire existing features, improve production workflows, implement new technologies, utilize artificial intelligence, update supported communication platforms, or otherwise modify the manner in which Services are delivered.
Such improvements are intended to enhance the customer experience and shall not be considered a reduction in service unless they materially eliminate a feature specifically included within the customer's purchased Service.
3.5 Third-Party Services
Certain Services may depend upon products, software, or platforms provided by third parties.
While Paws Pause makes reasonable efforts to maintain compatibility with supported platforms, we cannot guarantee the continued availability, functionality, or compatibility of any third-party service.
Changes made by third-party providers—including software updates, discontinued APIs, licensing changes, security requirements, platform limitations, or discontinued products—may affect certain Services.
Paws Pause shall not be responsible for interruptions or limitations resulting from actions taken by third-party providers.
3.6 No Guarantee of Business Results
Paws Pause is committed to delivering high-quality communication services designed to improve the caller experience.
However, because every veterinary organization is different, we do not guarantee any specific business outcome, including but not limited to:
Increased appointments
Increased revenue
Increased service utilization
Reduced call abandonment
Improved client satisfaction
Increased client retention
Increased operational efficiency
Any statistics, benchmarks, case studies, or examples published by Paws Pause are provided for informational purposes only and should not be interpreted as guarantees of future performance.
4. Managed Communication Services
Paws Pause provides managed communication services designed to reduce the time and effort required from our customers while helping maintain a professional and consistent caller experience.
Unlike traditional audio production services, Paws Pause manages the ongoing development, production, organization, and delivery of communication content on behalf of the Customer.
Our managed services may include:
Researching communication opportunities
Writing original scripts
Editing and proofreading content
Professional voice recording
Audio production and mastering
Background music licensing
Delivery of completed recordings
Automated deployment for supported communication platforms
Communication recommendations
Ongoing content planning
The specific Services provided will depend on the Customer's purchased subscription or service package.
4.1 Content Development
Unless otherwise agreed, Paws Pause is responsible for developing communication content based upon information provided by the Customer.
Customers are not required to provide completed scripts.
Our team will prepare content that reflects the Customer's services, promotions, seasonal reminders, operational updates, and other information intended for callers.
4.2 Customer Participation
Our goal is to minimize the amount of time required from our customers.
Customers are not required to review every script before production.
Scripts are available upon request at any time, and customers may request to review future scripts prior to production if they prefer.
Unless a Customer requests script review before production, Paws Pause may proceed using the most current Customer Information available.
4.3 Customer Information
The quality and accuracy of the Services depend upon the information provided by the Customer.
Customers agree to promptly notify Paws Pause whenever information changes, including but not limited to:
Practice name
Business hours
Telephone numbers
Website
Services offered
Provider additions or departures
Pricing
Promotions
Holiday schedules
Temporary closures
Emergency announcements
Other information intended for callers
Paws Pause is not responsible for inaccuracies resulting from outdated or incorrect information supplied by the Customer.
4.4 Scheduled Monthly Updates
For Customers subscribed to a Monthly Message-on-Hold Program, Paws Pause will prepare one scheduled monthly content update during each billing cycle.
If the Customer does not provide updated information before the applicable production schedule, Paws Pause may:
Continue using the Customer's most recent Recording;
Produce a new Recording using previously supplied information; or
Use seasonal or educational content consistent with the Customer's existing communication strategy.
This ensures continuity of service without requiring monthly customer approval.
4.5 Additional Requests
Customers may request additional recordings, emergency announcements, expedited production, or other services outside the normal monthly update schedule.
Such requests are subject to availability and may require additional fees.
Acceptance of any additional request shall be at the sole discretion of Paws Pause.
4.6 Communication Methods
To provide Services efficiently, Paws Pause may communicate with Customers through email, telephone, text message, online forms, customer portals, video meetings, or other reasonable communication channels.
Customers are responsible for maintaining accurate contact information and monitoring communications related to their Services.
4.7 No Editorial Obligation
While Paws Pause may make recommendations regarding clarity, grammar, tone, or communication effectiveness, the Customer retains responsibility for the factual accuracy of all organization-specific information provided.
Paws Pause reserves the right to decline requests that contain false, misleading, unlawful, defamatory, discriminatory, or otherwise inappropriate content.
5. Production Process
Paws Pause follows a structured production process to ensure the quality, consistency, and accuracy of the Services provided.
The exact production workflow may vary depending on the Service purchased, the complexity of the project, customer responsiveness, and operational requirements.
5.1 Production Schedule
Production begins after Paws Pause has received the information reasonably necessary to complete the requested Service.
Customers acknowledge that delays in providing requested information may delay production and delivery.
Paws Pause reserves the right to determine production schedules based on workload, staffing, holidays, project complexity, and other operational considerations.
Estimated production or delivery dates are provided for planning purposes only and do not constitute a guarantee.
5.2 Script Development
Unless otherwise agreed, Paws Pause will prepare all scripts using information supplied by the Customer and any additional information reasonably necessary to fulfill the requested Service.
Scripts may be:
Written entirely by Paws Pause;
Adapted from Customer-provided materials;
Developed collaboratively with the Customer; or
Updated by Paws Pause as part of an ongoing managed service.
Paws Pause reserves the right to edit scripts for grammar, clarity, consistency, pronunciation, formatting, timing, and overall listener experience.
5.3 Script Review
Customers may request to review scripts before production at any time.
Script review is optional and is not required for the Monthly Message-on-Hold Program unless otherwise agreed.
If a Customer requests script review, production will not begin until the script has been approved or until revisions have been completed to the reasonable satisfaction of both parties.
Failure to respond to a requested script review within a reasonable period may delay production.
5.4 Recording Production
Following script approval, or where script approval is not required, Paws Pause will produce the Recording using professional production standards.
Production may include:
Professional voice talent;
Commercially licensed voice technologies;
Audio mastering;
Volume normalization;
Background music;
Editing;
Noise reduction; and
Format optimization.
Paws Pause reserves the right to determine the production methods used for each Recording.
5.5 Pronunciation Guidance
Customers are encouraged to provide pronunciation guidance for:
Practice names;
Provider names;
Cities;
Medications;
Veterinary terminology; and
Other specialized words.
Where pronunciation guidance is not provided, Paws Pause will make reasonable efforts to determine the correct pronunciation using available information.
5.6 Revisions
Paws Pause strives to deliver accurate, high-quality Recordings.
If Paws Pause introduces a Production Error, we will correct the error at no additional charge.
Production Errors include, but are not limited to:
Incorrect wording;
Misspellings;
Incorrect pronunciations that differ from Customer-provided guidance;
Missing Customer-provided information; or
Technical defects introduced during production.
Revision requests that result from changes in Customer preferences, updated business information, new promotions, revised messaging, or other modifications requested after production has been completed may require additional fees.
5.7 Customer-Requested Changes
Requests that materially change the approved scope of a Recording may be treated as a new production.
Examples include:
New promotional campaigns;
Updated business hours after recording;
New provider announcements;
Additional services;
New marketing messaging; or
Significant script rewrites.
Paws Pause will notify the Customer before additional charges are incurred.
5.8 Quality Assurance
Every Recording is subject to internal quality assurance before delivery.
Quality assurance may include verification of:
Audio quality;
File integrity;
Recording length;
Pronunciation;
Formatting;
Technical compatibility; and
Overall production quality.
While Paws Pause makes every reasonable effort to identify errors before delivery, Customers are encouraged to notify us promptly if any issue is discovered.
5.9 Customer Inactivity
If a Customer does not respond to requests necessary to complete a project within a reasonable period, production may be delayed.
Projects that remain inactive for more than ninety (90) consecutive days may be considered abandoned and may be closed at Paws Pause's discretion.
Closing a project does not relieve the Customer of any payment obligations already incurred.
5.10 Continuous Improvement
Paws Pause continuously evaluates and improves its production workflows.
We may update recording techniques, production processes, voice technologies, software, automation tools, quality assurance procedures, and operational methods without prior notice, provided such changes do not materially reduce the Services purchased by the Customer.
6. Delivery and Platform Support
Paws Pause delivers completed Recordings in formats suitable for use with supported communication platforms and industry-standard telecommunications systems.
Delivery methods and deployment options may vary depending on the Customer's communication platform, purchased Service, and technical requirements.
6.1 Delivery Formats
Unless otherwise agreed in writing, Recordings will be delivered in an audio format determined by Paws Pause to provide the best compatibility with the Customer's communication platform.
Customers requiring specific audio formats should notify Paws Pause before production begins.
Reasonable efforts will be made to accommodate such requests.
6.2 Automated Deployment
For supported communication platforms, Paws Pause may offer automated deployment of completed Recordings as part of the purchased Service.
Automated deployment is available only for platforms currently supported by Paws Pause.
Supported platforms may change over time due to changes in third-party technology, licensing requirements, security restrictions, API availability, or other factors outside our control.
Paws Pause does not guarantee that automated deployment will be available for every communication platform or customer environment.
6.3 Customer-Managed Uploads
For communication platforms that do not support automated deployment, or where automated deployment has not been purchased, Paws Pause will provide ready-to-upload audio files.
Customers are responsible for uploading and activating those Recordings unless separate implementation services have been purchased.
6.4 Platform Compatibility
Paws Pause produces Recordings according to generally accepted telecommunications audio standards.
Playback quality may vary depending on factors outside our control, including but not limited to:
Communication platform configuration;
Audio processing performed by third-party providers;
Compression;
Hardware;
Network conditions;
Telephone carriers; and
Customer system configuration.
Paws Pause is not responsible for degradation introduced after delivery by third-party systems.
6.5 Third-Party Platforms
Many Services depend upon third-party providers, including telecommunications platforms, cloud communication services, payment processors, and software vendors.
Paws Pause does not control these third-party services and is not responsible for:
Service outages;
API changes;
Licensing changes;
Platform limitations;
Product discontinuations;
Security updates;
Changes to supported file formats; or
Other modifications made by third-party providers.
If a third-party provider changes its platform in a manner that affects the Services, Paws Pause will make commercially reasonable efforts to identify an alternative solution but cannot guarantee continued compatibility.
6.6 Customer Credentials
Where automated deployment or implementation services require access to customer systems, the Customer is responsible for providing appropriate credentials and maintaining necessary permissions.
Customers represent that they have the authority to grant such access.
Paws Pause will use reasonable administrative, technical, and organizational safeguards when handling customer credentials but shall not be responsible for access issues resulting from incorrect credentials, revoked permissions, security policies, or third-party platform restrictions.
6.7 Delivery Confirmation
Delivery shall be deemed complete when a Recording has been:
Successfully delivered to the Customer;
Successfully deployed to a supported communication platform;
Made available through an agreed delivery method; or
Otherwise provided in accordance with the purchased Service.
Failure by the Customer to retrieve, upload, activate, or use a delivered Recording does not constitute a failure by Paws Pause to perform the Services.
6.8 Future Platform Support
Paws Pause continuously evaluates additional communication platforms, integrations, and deployment capabilities.
The existence of an integration with one platform does not imply support for other platforms.
Paws Pause reserves the right to add, modify, suspend, or discontinue support for any communication platform at any time.
7. Fees, Billing, and Payments
Customers agree to pay all applicable fees for the Services they purchase from Paws Pause.
Pricing for our Services is published on our Website, provided in written proposals or quotations, or otherwise communicated by Paws Pause. Unless expressly stated otherwise, all prices are listed in U.S. Dollars and are subject to these Terms.
7.1 Subscription Billing
Subscription fees are billed on a recurring basis according to the billing interval selected at the time of purchase.
Monthly subscriptions are billed in advance at the beginning of each billing cycle and automatically renew until cancelled in accordance with these Terms.
Annual subscriptions, when offered, are billed annually in advance.
7.2 One-Time Services
One-Time Recordings and other non-subscription Services are billed as individual purchases.
Production will begin after payment has been successfully received unless otherwise agreed in writing.
7.3 Enterprise Services
Enterprise Services may be provided under a separate proposal, Statement of Work (SOW), Master Services Agreement (MSA), or other written agreement.
Where a separate written agreement exists, its pricing and payment terms will govern the applicable Enterprise Services.
7.4 Taxes
Unless otherwise stated, all prices exclude applicable taxes.
Customers are responsible for any applicable sales tax, value-added tax (VAT), goods and services tax (GST), or similar governmental charges. Where required by law, Paws Pause will collect and remit these taxes.
7.5 Payment Methods
Customers authorize Paws Pause and its payment providers to charge the payment method provided for all applicable subscription fees, one-time purchases, taxes, and other authorized charges.
Customers are responsible for maintaining valid and current payment information throughout the duration of the Services.
7.6 Failed Payments
If a payment cannot be successfully processed due to insufficient funds, expired payment methods, payment authorization failures, or any other reason, Paws Pause may retry the payment, notify the Customer, suspend the applicable Services, or cancel the Service until payment has been received.
Customers remain responsible for all outstanding balances.
7.7 Price Changes
Paws Pause may update subscription pricing from time to time.
Existing subscribers will receive reasonable advance notice before any pricing changes become effective. Continued use of the applicable Service after the effective date of a pricing change constitutes acceptance of the updated subscription fee.
7.8 Promotional Pricing
Paws Pause may occasionally offer discounts, promotional pricing, coupons, or introductory offers.
Unless otherwise stated, promotional offers cannot be combined, have no cash value, apply only during the advertised promotional period, and do not guarantee future pricing.
7.9 Refunds
Because our Services involve custom professional production, completed Recordings and completed Services are generally non-refundable.
If Paws Pause determines that a refund is appropriate due to a billing error, duplicate payment, production error, or other exceptional circumstance, refunds will be issued at Paws Pause's discretion unless otherwise required by applicable law.
7.10 Collections
Customers are responsible for paying all undisputed amounts owed to Paws Pause.
If payment remains outstanding, Paws Pause may pursue any lawful collection remedies available, including the use of third-party collection agencies where permitted by law.
7.11 Payment Disputes
Customers agree to contact Paws Pause to attempt to resolve any billing concerns before initiating a payment dispute or chargeback whenever reasonably possible.
Nothing in this section limits any rights a Customer may have under applicable law.
8. Cancellation and Termination
Customers may cancel a Subscription at any time through the Customer Portal, by contacting Paws Pause, or by any other method made available by Paws Pause.
Unless otherwise stated in a separate written agreement, all Subscription cancellations become effective at the end of the current billing period. Customers will continue to have access to the purchased Services through the end of the paid Subscription term.
8.1 Customer Cancellation
Customers may cancel a Subscription at any time without incurring cancellation penalties or long-term contractual obligations.
Cancellation prevents future recurring charges but does not entitle the Customer to a refund for the current billing period unless otherwise required by applicable law.
8.2 No Prorated Refunds
Subscription fees are billed in advance and are generally non-refundable.
Except where required by law or expressly approved by Paws Pause, partial billing periods, unused Services, or early cancellations do not qualify for prorated refunds or service credits.
8.3 Termination by Paws Pause
Paws Pause reserves the right to suspend or terminate Services immediately or upon notice if a Customer:
Fails to make required payments;
Violates these Terms;
Uses the Services in an unlawful or fraudulent manner;
Infringes the intellectual property rights of Paws Pause or any third party;
Interferes with the operation or security of the Services; or
Engages in conduct that may reasonably expose Paws Pause to legal, financial, or reputational risk.
Where practical, Paws Pause will make reasonable efforts to notify the Customer and provide an opportunity to resolve the issue before terminating Services.
8.4 Suspension of Services
Paws Pause may temporarily suspend Services when necessary to:
Investigate suspected violations of these Terms;
Protect the security or integrity of our systems;
Perform maintenance or upgrades;
Comply with legal obligations; or
Prevent harm to Paws Pause, its Customers, or third parties.
Service suspension does not relieve the Customer of any outstanding payment obligations.
8.5 Effect of Termination
Upon termination or cancellation of a Subscription:
The Customer's right to receive future Subscription Services will end upon expiration of the current paid billing period.
Any licenses previously granted for completed Recordings remain subject to these Terms.
Outstanding invoices and payment obligations remain due and payable.
Any provisions of these Terms that are intended to survive termination, including but not limited to payment obligations, intellectual property rights, limitations of liability, governing law, and dispute resolution, shall remain in full force and effect.
8.6 Customer Data and Recordings
Following cancellation or termination, Paws Pause may retain Customer Information, scripts, Recordings, and related project materials for a reasonable period for operational, legal, accounting, backup, or compliance purposes.
Paws Pause does not guarantee indefinite storage or retrieval of historical Recordings, scripts, or project files. Customers are encouraged to retain copies of all Deliverables provided to them.
8.7 Reinstatement
A cancelled Subscription may be reactivated at Paws Pause's then-current pricing and Service offerings.
Paws Pause does not guarantee the availability of previous pricing, promotional offers, grandfathered plans, or discontinued Services upon reinstatement.
9. Intellectual Property and Licensing
Unless otherwise expressly stated in writing, all intellectual property rights associated with the Services remain the exclusive property of Paws Pause or its licensors.
These rights include, but are not limited to, copyrights, trademarks, service marks, logos, production methods, workflows, software, scripts, templates, graphics, website content, proprietary processes, documentation, and other materials created or provided by Paws Pause.
Nothing in these Terms transfers ownership of Paws Pause's intellectual property to the Customer.
9.1 Customer License
Upon full payment for the applicable Service, Paws Pause grants the Customer a non-exclusive, non-transferable, non-sublicensable license to use the completed Recordings within the Customer's own organization for their intended business purposes.
This license remains valid unless terminated in accordance with these Terms.
9.2 Permitted Use
Customers may use completed Recordings for their own internal business operations, including playback through supported communication platforms, telephone systems, contact centers, and similar communication channels.
Customers may retain copies of delivered Recordings for their own business use.
9.3 Prohibited Use
Customers may not, without prior written authorization from Paws Pause:
Sell, sublicense, lease, or commercially redistribute any Recording;
Provide completed Recordings to third parties for commercial use;
Offer Recordings as part of another commercial service;
Claim ownership of Recordings created by Paws Pause;
Remove, alter, or obscure any copyright or proprietary notices where applicable;
Reverse engineer or copy Paws Pause's proprietary production methods, templates, workflows, software, or processes.
9.4 Customer Content
Customers retain ownership of the information, branding, trademarks, logos, scripts, and other materials they provide to Paws Pause.
By submitting Customer Information, the Customer grants Paws Pause a non-exclusive, royalty-free license to use such materials solely for the purpose of providing the purchased Services.
9.5 Licensed Music and Third-Party Content
Background music, voice libraries, sound effects, fonts, stock assets, and other third-party materials incorporated into the Services may be licensed from third-party providers.
Customers receive the right to use these materials only as incorporated into the completed Deliverables.
Customers may not extract, reuse, redistribute, or separately publish licensed third-party content.
9.6 Portfolio and Marketing Use
Unless the Customer requests otherwise in writing, Paws Pause may identify the Customer as a client and may reference the Customer's organization in marketing materials, customer lists, case studies, presentations, or on the Paws Pause Website.
Paws Pause will not publicly disclose confidential Customer Information without permission.
Customers may opt out of marketing references at any time by providing written notice.
9.7 Feedback
If a Customer provides suggestions, recommendations, comments, or other feedback regarding the Services, Paws Pause may use that feedback to improve its products and services without restriction or obligation to provide compensation.
9.8 Reservation of Rights
All rights not expressly granted to the Customer under these Terms are reserved by Paws Pause and its licensors.
10. Warranties and Disclaimers
Paws Pause is committed to delivering professional, reliable, and high-quality communication services. We take reasonable care in the creation, production, and delivery of our Services and strive to provide an exceptional customer experience.
Except as expressly stated in these Terms or required by applicable law, the Services are provided on an "as available" and "as is" basis.
10.1 No Guarantee of Business Results
Paws Pause provides communication services designed to improve the caller experience and support customer communications.
However, we do not guarantee any specific business outcome, including but not limited to:
Increased appointment bookings;
Increased revenue;
Increased client retention;
Reduced call abandonment;
Increased service inquiries;
Improved operational efficiency; or
Any other financial or operational result.
Any examples, statistics, case studies, testimonials, or performance metrics published by Paws Pause are provided for informational purposes only and should not be interpreted as guarantees of future results.
10.2 Customer Information
Paws Pause relies upon information provided by the Customer.
We are not responsible for errors resulting from inaccurate, incomplete, outdated, or misleading information supplied by the Customer, including but not limited to business hours, provider names, pricing, promotions, contact information, or other organization-specific details.
10.3 Third-Party Services
Certain Services depend upon third-party providers, including telecommunications platforms, cloud communication providers, payment processors, internet service providers, software vendors, and hosting providers.
Paws Pause does not warrant the performance, availability, compatibility, or continued operation of any third-party service.
Interruptions or limitations caused by third-party providers are outside the reasonable control of Paws Pause.
10.4 Platform Compatibility
While Paws Pause produces Recordings using industry-standard formats and best practices, we do not guarantee identical playback quality across every communication platform, telephone system, or customer environment.
Audio quality may vary due to third-party processing, hardware, software, network conditions, compression algorithms, or platform-specific limitations.
10.5 Availability
Paws Pause makes reasonable efforts to maintain the availability of its Website and Services.
However, we do not warrant that the Services will be uninterrupted, error-free, or continuously available.
Scheduled maintenance, software updates, security measures, and circumstances beyond our reasonable control may temporarily affect availability.
10.6 Professional Judgment
Where Paws Pause provides recommendations, consulting services, communication strategies, or technology advisory services, such recommendations are based on the information reasonably available at the time.
Final business decisions remain the sole responsibility of the Customer.
10.7 No Other Warranties
To the fullest extent permitted by applicable law, Paws Pause disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or uninterrupted availability, except to the extent such warranties cannot be lawfully excluded.
10.8 Consumer Rights
Nothing in these Terms is intended to exclude or limit any warranty, guarantee, or consumer right that cannot be excluded or limited under applicable law.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Paws Pause's total liability arising out of or relating to the Services, these Terms, or any claim by the Customer shall not exceed the total amount paid by the Customer to Paws Pause for the applicable Service during the twelve (12) months immediately preceding the event giving rise to the claim.
11.1 Indirect Damages
To the fullest extent permitted by applicable law, Paws Pause shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:
Loss of revenue;
Loss of profits;
Loss of business opportunities;
Loss of anticipated savings;
Loss of goodwill;
Loss of customers;
Business interruption;
Loss of data; or
Costs associated with substitute services.
This limitation applies regardless of the legal theory under which the claim is brought, including contract, tort (including negligence), strict liability, or otherwise, even if Paws Pause has been advised of the possibility of such damages.
11.2 Customer Responsibility
Customers are responsible for reviewing and confirming the accuracy of information they provide to Paws Pause, including practice-specific details such as business hours, provider names, pricing, promotions, contact information, and other operational information.
Paws Pause shall not be liable for losses resulting from inaccurate, incomplete, outdated, or untimely information supplied by the Customer.
11.3 Third-Party Services
Paws Pause shall not be responsible for failures, interruptions, delays, compatibility issues, security incidents, or other problems arising from third-party providers, including but not limited to telecommunications platforms, internet service providers, cloud services, payment processors, software vendors, or hosting providers.
11.4 Force Majeure
Paws Pause shall not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including natural disasters, acts of government, labor disputes, internet outages, cyberattacks, telecommunications failures, public health emergencies, power outages, supply chain disruptions, or other force majeure events.
11.5 Maximum Liability
The limitations set forth in this Section apply to the maximum extent permitted by applicable law.
Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable law, including liability arising from fraud, willful misconduct, or any other liability that applicable law prohibits from being limited.

Paws Pause respects the privacy and confidentiality of its Customers and is committed to protecting Customer Information in accordance with applicable laws and our Privacy Policy.
Our Privacy Policy forms part of these Terms and describes how we collect, use, store, disclose, and safeguard personal information.
12.1 Customer Information
In providing the Services, Paws Pause may collect or receive information including, but not limited to:
Contact information;
Practice information;
Business hours;
Provider names;
Telephone numbers;
Email addresses;
Scripts;
Announcements;
Payment information;
Customer communications; and
Other information reasonably necessary to provide the Services.
Customers represent that they have the authority to provide such information to Paws Pause.
12.2 Confidential Information
Paws Pause will use reasonable care to protect confidential business information provided by Customers.
Confidential Information will be used solely for the purpose of providing the Services, complying with legal obligations, improving our operations, or as otherwise permitted by these Terms.
12.3 Payment Information
Payment transactions are processed by third-party payment providers.
Paws Pause does not store complete credit card numbers or other sensitive payment credentials on its own systems.
Customers acknowledge that payment processing is subject to the terms, conditions, and privacy practices of the applicable payment provider.
12.4 Security
Paws Pause implements reasonable administrative, technical, and organizational measures designed to protect Customer Information from unauthorized access, disclosure, alteration, or destruction.
No method of electronic transmission or data storage is completely secure, and Paws Pause cannot guarantee absolute security.
12.5 Customer Communications
Customers authorize Paws Pause to communicate regarding the Services using the contact information they provide.
Such communications may include production updates, billing notices, service announcements, account notifications, support communications, and other operational messages.
Customers may also choose to receive optional marketing communications and may opt out of those communications at any time.
12.6 Disclosure
Paws Pause will not sell Customer Information to third parties.
We may disclose Customer Information only when reasonably necessary to:
Provide the Services;
Process payments;
Comply with applicable law;
Respond to lawful legal requests;
Protect the rights, property, or safety of Paws Pause, our Customers, or others; or
Facilitate business operations through trusted service providers acting on our behalf.
12.7 Data Retention
Paws Pause may retain Customer Information, project files, scripts, Recordings, invoices, communications, and related business records for as long as reasonably necessary to provide the Services, comply with legal obligations, resolve disputes, enforce these Terms, or support legitimate business operations.
Paws Pause does not guarantee permanent retention or recovery of historical project materials.
12.8 Privacy Policy
Additional information regarding the collection, use, storage, and protection of personal information is available in our Privacy Policy.
In the event of a conflict between these Terms and the Privacy Policy regarding the handling of personal information, the Privacy Policy shall govern to the extent of that conflict.
13. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.
Both Paws Pause and the Customer agree to make a good-faith effort to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services before initiating formal legal proceedings.
13.1 Informal Resolution
Before filing any lawsuit, either party agrees to notify the other party in writing of the nature of the dispute and allow at least thirty (30) days for the parties to attempt to resolve the matter through good-faith discussions.
Nothing in this section prevents either party from seeking immediate injunctive or equitable relief where necessary to protect its rights.
13.2 Governing Law
These Terms and any dispute arising out of or relating to the Services shall be governed exclusively by the laws of the State of Wyoming, without regard to its conflict of law rules.
13.3 Venue
Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located within the State of Wyoming.
Each party irrevocably submits to the jurisdiction of those courts and waives any objection based upon venue or inconvenient forum.
13.4 Waiver of Jury Trial
To the fullest extent permitted by applicable law, each party knowingly and voluntarily waives any right to a trial by jury in any legal proceeding arising out of or relating to these Terms or the Services.
13.5 Time Limitation
To the fullest extent permitted by applicable law, any claim arising out of or relating to these Terms or the Services must be commenced within one (1) year after the claim arises or such claim shall be permanently barred.
This limitation does not apply where prohibited by applicable law.
13.6 Attorneys' Fees
In any legal proceeding arising out of these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees, court costs, and other expenses to the extent permitted by applicable law.
14. General Provisions
These Terms constitute the complete agreement between the Customer and Paws Pause regarding the Services and supersede all prior or contemporaneous discussions, communications, proposals, representations, or agreements relating to the same subject matter, except where a separate written agreement expressly provides otherwise.
14.1 Changes to These Terms
Paws Pause may update these Terms from time to time to reflect changes in our Services, business practices, legal requirements, or operational needs.
The most current version of these Terms will always be available on our Website. Material changes affecting existing Customers will become effective after reasonable notice has been provided, unless a shorter period is required by law.
Continued use of the Services after the effective date of revised Terms constitutes acceptance of those changes.
14.2 Entire Agreement
These Terms, together with our Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between the Customer and Paws Pause regarding the Services.
Where a separate written agreement, including a Master Services Agreement (MSA), Statement of Work (SOW), or Enterprise Agreement exists, that agreement shall govern only to the extent it conflicts with these Terms.
14.3 Severability
If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
The invalid provision shall be interpreted, modified, or replaced to the minimum extent necessary to make it enforceable while preserving its original intent as closely as possible.
14.4 No Waiver
The failure of Paws Pause to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Any waiver must be made in writing and shall apply only to the specific circumstance for which it is granted.
14.5 Assignment
Customers may not assign, transfer, delegate, or otherwise transfer their rights or obligations under these Terms without the prior written consent of Paws Pause.
Paws Pause may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate restructuring, sale of assets, financing transaction, or by operation of law.
14.6 Independent Contractors
Nothing contained in these Terms shall be construed to create a partnership, joint venture, agency, employment, franchise, or fiduciary relationship between the Customer and Paws Pause.
Each party acts solely as an independent contractor.
14.7 Electronic Communications
The Customer agrees that Paws Pause may provide notices, agreements, disclosures, invoices, receipts, and other communications electronically, including through email, customer portals, payment platforms, or our Website.
Electronic communications shall satisfy any legal requirement that such communications be provided in writing.

15. Acceptance of Terms
By purchasing, subscribing to, accessing, or otherwise using the Services provided by Paws Pause, the Customer acknowledges that they have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and any other policies or agreements expressly incorporated by reference.

If the Customer is accepting these Terms on behalf of an organization, the individual accepting these Terms represents and warrants that they have the authority to bind that organization to these Terms.
If the Customer does not agree to these Terms, they must not purchase, access, or use the Services.
These Terms become effective on the earlier of:
The date the Customer purchases a Service;
The date the Customer creates an account or subscribes to a Service;
The date the Customer accepts these Terms electronically; or
The date the Customer first accesses or uses any Service provided by Paws Pause.
